DIORO Terms & Conditions

These Terms & Conditions govern your use of dioro.ca and any wholesale account, quote or order placed with DIORO. By using the website or placing an order, you agree to these terms. This website is intended for approved jewellery retailers and other qualified trade customers, not personal consumer purchasing.
1. Trade Accounts
Wholesale pricing and online ordering are available only to approved accounts. You agree to provide accurate business and contact information and to keep it current. Approval is at DIORO’s discretion and may be suspended or withdrawn if an account is misused, information is inaccurate or these terms are not followed. You are responsible for activity under your login credentials.
2. Products and Availability
We work to present product descriptions, images, attributes and availability accurately. Jewellery may show minor variations in colour, finish or appearance due to materials, production and screen settings. Availability can change without notice. We may limit quantities, discontinue products or correct information when necessary.
3. Pricing, Gold Values and Taxes
Prices are in Canadian dollars unless stated otherwise. Certain jewellery prices are calculated using product weight, karat and current gold values, so pricing may change as the gold market changes. The price shown when an order is submitted is subject to verification and order acceptance. We may correct an obvious pricing, calculation or data error before accepting an order and will contact you if the correction affects your order.
Applicable taxes, shipping charges and other order costs are shown before submission or confirmed with your quote. You are responsible for taxes, duties or charges that apply to your purchase unless DIORO is required to collect them.
4. Orders and Acceptance
Submitting an order or quote request does not guarantee acceptance. Orders remain subject to account approval, product availability, pricing verification and payment authorization. An automated acknowledgement confirms receipt only. We may decline or cancel an order before acceptance and will notify you if that occurs. Changes requested after acceptance may not be possible.
5. Payment
You agree to provide valid payment and billing information and to pay all amounts when due. Available payment methods and any account-specific payment terms are presented during ordering or confirmed directly by DIORO. Failed, reversed or overdue payments may delay fulfilment or suspend account access.
6. Shipping and Delivery
Shipping options, charges and estimated timelines are provided during checkout or order confirmation. Delivery dates are estimates unless DIORO agrees otherwise in writing. You are responsible for providing a complete and accurate delivery address and for reviewing shipment details promptly. DIORO is not responsible for delays caused by carriers, customs or events outside our reasonable control.
7. Returns, Damage and Order Issues
Returns and exchanges are governed by our Refund and Returns Policy. Inspect shipments promptly and contact us as soon as possible if an item is missing, damaged or different from the confirmed order. Include the order number and clear details so our team can review the issue efficiently.
8. Custom Jewellery and Quotes
Custom work, special orders and quoted products may require written approval of specifications, pricing, deposits and timing. Requested changes can affect price and delivery. Custom or specially ordered items may have different cancellation and return conditions, which will be disclosed before the order is confirmed.
9. Acceptable Website Use
You may use this website only for lawful business purposes. You must not attempt to access another account, interfere with website security, scrape protected pricing or catalogue data, resell access credentials, or use DIORO content in a misleading or unauthorized way.
10. Intellectual Property
The DIORO name, branding, product imagery, catalogue content, copy and website materials are owned by or licensed to DIORO and are protected by applicable intellectual-property laws. Approved retailers may use materials supplied specifically for authorized resale and marketing, subject to any usage instructions provided by DIORO. No other licence is granted.
11. Website Availability and Third-Party Services
We aim to keep the website accurate and available, but access may occasionally be interrupted for maintenance, updates or matters beyond our control. Payment providers, carriers and other third-party services have their own terms and practices. Links to third-party websites are provided for convenience and do not make DIORO responsible for their content.
12. Limitation of Liability
To the fullest extent permitted by law, DIORO will not be liable for indirect, incidental, special or consequential loss arising from use of the website or a wholesale transaction. DIORO’s total liability relating to a product or order will not exceed the amount paid for the product or order giving rise to the claim. Nothing in these terms limits liability that cannot legally be limited.
13. Governing Law
These terms are governed by the laws of Ontario and the federal laws of Canada applicable in Ontario. Any dispute will be handled by the courts located in Toronto, Ontario, unless the parties agree to another resolution process.
14. Changes to These Terms
We may update these terms as the website, services or legal requirements change. The effective date above identifies the latest version. Continued use of the website after an update means the revised terms apply from that date.
